Ccall is an agile business established in 2012. We provide company/commercial legal advice to entrepreneurial clients and small to medium-sized owner-managed and family-run businesses usually in and around London and the South East.

We specialise in helping clients to buy, sell and invest in private companies, buy and sell businesses and assets, restructuring, spin-off’s and share buybacks and we advise on a range of commercial contracts typically entered into by private companies as well as advising employer clients on employment law matters.

We advise individual director/shareholder on Shareholder Agreements and bespoke Articles of Association and how to deal with matters if the relationship breaks down.

Corporate Experience

We have the necessary skills to assess, plan, project management and drive through to completion corporate transactions dealing with both technical and commercial issues on the way.

We’re both used to and enjoy working on complex and often multifaceted transactions and disputes. With an excellent track record and an eye for detail, we seek out common ground and look for solutions which are rarely obvious at the start but are developed during negotiations as the position of the parties undergo change.

David-Pollacchi

Ccall was established in 2012 by David Pollacchi after leaving a West End firm where he’d been a corporate lawyer and managing partner for many years.

David provides company/commercial advice to small to medium-sized businesses principally in and around London and the South East.

David has a network of other legal, tax and accountancy professionals he works with and can call upon and introduce as needed.

Corporate Law:

The sale and purchase of companies/businesses and tax-related restructuring working with accountants, tax advisers, property lawyers and other specialists involved in transactional work, often taking a lead role, project managing transactions and coordinating the various advisers in different jurisdictions.

Company Commercial:

Shareholders Agreements, Investment Agreements and Joint Ventures Agreements etc as well as a variety of commercial contracts typically encountered by SMEs. David drafts terms of business for a variety of different businesses and advises on appropriate procedures for their entrenchment. David deals with transactional related company secretarial matters.

Employment Law:

Employment law aspects of corporate transactions, Service Agreements for senior staff, terms and conditions of employment and advising on employee relations. David advises both employers and senior personnel on termination of employment issues and the enforcement and defence of actions relating to restrictive covenants and confidential information.

Generally:

David is used to helping owner-managed companies and their directors with the day to day running of their businesses, advising on a range of commercial issues and helping them to resolve disputes often without litigation. David has represented clients at mediation taking a lead role in assisting them to negotiate solutions often in difficult and seemingly unresolvable circumstances.
